Terms of Service

Effective date: May 24, 2026

These Terms of Service (the “Terms”) form a binding agreement between you and Ivory Tower International LLC (“Company,” “we,” “our,” or “us”) and govern your access to and use of Day-1 CPT Apply (the “Site”), our consultations, our referral program, and any other services we make available to you (collectively, the “Services”). By accessing the Site, submitting any form, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age to use the Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. You represent that you have the legal capacity to enter into a binding agreement and that your use of the Services does not violate any law applicable to you.

2. Description of Services

The Company provides educational consulting and information services to help students compare and apply to Day-1 CPT and other U.S. university programs. The Services may include curated school information, application support, scheduling of consultations, and a referral program. The Services are informational and educational only.

3. Not Legal Advice; No Attorney–Client Relationship

The Company is not a law firm. We do not provide legal advice, and nothing on the Site or in any communication with us constitutes legal advice or the practice of law. Use of the Services does not create an attorney–client relationship between you and the Company or any of its officers, employees, contractors, or affiliates. Information we share about U.S. immigration topics (including but not limited to F-1 status, CPT, OPT, H-1B, change of status, employment authorization, and SEVIS compliance) is general in nature, may not reflect the most recent regulatory or policy changes, and is not a substitute for advice from a licensed immigration attorney. For binding legal advice or representation, you must consult a licensed immigration attorney in the relevant jurisdiction.

4. No Guarantees of Outcome

We make no representations, warranties, or guarantees regarding any of the following, all of which are decided by third parties or government agencies outside our control:

  • Admission to, or continued enrollment in, any university or program.
  • Issuance, denial, revocation, or transfer of any I-20 or SEVIS record.
  • Approval, denial, or processing time of any U.S. government petition or application (including but not limited to CPT authorization, OPT, H-1B, change of status, EAD, or any USCIS, DOS, CBP, or ICE adjudication).
  • Eligibility for, continuation of, or termination of any immigration status or employment authorization.
  • Offers of employment, salary outcomes, or any business or financial result.
  • Availability, scheduling, accreditation, or curriculum of any school or program referenced on the Site.

You acknowledge that immigration outcomes depend on a variety of factors specific to you and on adjudications made entirely by third parties. You accept full responsibility for verifying any information that materially affects your decisions with the relevant school, employer, government agency, or licensed attorney.

5. Regulatory Changes; Forward-Looking Information

U.S. immigration law, agency guidance, university policies, and program eligibility criteria change frequently and without notice. Information on the Site may become outdated. We make no commitment to update content and disclaim any duty to do so. You bear sole responsibility for confirming the current state of any rule, policy, or program before acting on it.

6. Your Information; Accuracy

You agree to provide accurate, current, and complete information when you contact us, submit any form, or otherwise interact with the Services, and to update that information as needed. You acknowledge that we and any school, employer, or agency relying on information you provide may make decisions based on it. You are solely responsible for any consequences (including denial of an application, loss of status, or financial loss) arising from information that is inaccurate, incomplete, outdated, misleading, fraudulent, or submitted without authority.

7. Communications Consent

By providing your contact information, you expressly consent to receive communications from us by email, telephone, SMS / text message, WhatsApp, or other messaging services at the contact details you provide, including communications sent using an autodialer or pre-recorded voice. Standard message and data rates may apply. Your consent is not a condition of purchase or service. You may opt out of marketing messages at any time by following the unsubscribe instructions in any message or by emailing Info@ivoryedu.com; transactional messages (such as application-related updates) may continue.

8. Referral Program

We may operate a referral program through which existing users can refer prospective students. Eligibility for any referral reward depends on the referred student meeting the criteria we publish on the relevant page at the time of the referral. We reserve the right to change, suspend, or terminate the referral program, or modify its rewards or eligibility criteria, at any time and without prior notice. Referral rewards may be reportable income. You are solely responsible for the tax treatment of any rewards you receive, including completing any tax forms (such as Form W-9) we may require before payment.

9. Intellectual Property; Trademarks

The Site and all content on it — including text, graphics, photographs, logos, layouts, software, and the selection and arrangement thereof — are owned by the Company or its licensors and are protected by U.S. and international intellectual property laws. Except as expressly permitted by these Terms or with our prior written consent, you may not copy, reproduce, modify, distribute, publish, transmit, display, sell, license, create derivative works from, or otherwise exploit any portion of the Site.

The Site references third-party names, marks, and logos (including the names and accreditation marks of universities, accrediting bodies such as WSCUC, HLC, MSCHE, and NECHE, and other third parties) solely to identify those institutions and describe the programs we help students apply to. This use is intended to qualify as nominative fair use under U.S. trademark law. We are not affiliated with, endorsed by, sponsored by, or in any way officially connected to any university, accrediting body, employer, or government agency referenced on the Site, unless we expressly state otherwise in writing. All trademarks, service marks, and trade names are the property of their respective owners.

10. License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial informational purposes. All rights not expressly granted are reserved.

11. Acceptable Use; Prohibited Conduct

You agree not to, and not to attempt to:

  • Use the Services in violation of any applicable law, regulation, or third-party right, including U.S. immigration, export, sanctions, employment, tax, and consumer-protection law.
  • Submit false, misleading, or fraudulent information, or impersonate any person or entity.
  • Interfere with, disrupt, probe, or test the security of the Site or its infrastructure; attempt to access any account, system, or data not authorized to you.
  • Scrape, crawl, harvest, or otherwise extract data from the Site by any automated means, or use the Site to train or evaluate any machine learning model or dataset, without our prior written consent.
  • Resell, rebrand, or commercially exploit any portion of the Services without our prior written consent.
  • Use the Services to send spam, malware, or any harmful, defamatory, harassing, discriminatory, obscene, or otherwise objectionable content.
  • Circumvent any access control, rate limit, or technical measure we use to protect the Site.

12. User Submissions; Feedback

If you submit feedback, suggestions, ideas, testimonials, or other materials to us (collectively, “Submissions”), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, and distribute those Submissions for any lawful purpose, including marketing, without further notice, compensation, or attribution to you. You represent that you have the right to grant this license and that your Submissions do not violate any law or third-party right.

13. Third-Party Services and Links

The Services integrate or rely on third-party services (such as HubSpot for form intake, Google Fonts for typography, and various universities’ admissions and SEVIS systems) and may include links to third-party websites. We do not control those services or websites and are not responsible for their content, availability, security, privacy practices, or business decisions. Your use of any third-party service or website is governed solely by that third party’s terms and policies. Referencing or linking to a third party does not constitute endorsement.

14. Disclaimers

THE SERVICES AND ALL CONTENT, INFORMATION, MATERIALS, AND COMMUNICATIONS PROVIDED THROUGH THE SERVICES ARE MADE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, the Company and its officers, directors, employees, contractors, agents, affiliates, licensors, and suppliers (collectively, the “Company Parties”) disclaim all warranties, express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, uninterrupted operation, security, and quiet enjoyment. The Company Parties make no warranty that the Services will meet your requirements, be uninterrupted, error-free, or secure, or that any information will be accurate, current, or reliable. Any reliance you place on any information provided through the Services is strictly at your own risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY PARTIES WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, IMMIGRATION STATUS, EDUCATIONAL OPPORTUNITY, EMPLOYMENT, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR ANY ACT OR OMISSION OF ANY COMPANY PARTY, EVEN IF A COMPANY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

THE AGGREGATE LIABILITY OF THE COMPANY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICES DIRECTLY GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

The limitations in this Section apply to all claims, whether based in contract, tort (including negligence), strict liability, statute, or any other theory, and survive termination of these Terms. Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, the Company Parties’ liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and litigation costs) arising out of or related to: (a) your access to or use of the Services; (b) your breach of these Terms or any representation, warranty, or covenant in them; (c) any information you submit to or through the Services; (d) your violation of any law or any third-party right; or (e) any claim by a school, employer, government agency, or other third party against any Company Party arising from any application, document, or representation you submitted or authorized. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this Section carefully — it affects your legal rights.

Informal resolution. Before filing any claim against the Company, you agree to first contact us at Info@ivoryedu.com with a written description of the dispute and your contact information, and to engage in good-faith negotiations for at least sixty (60) days.

Binding arbitration. If we cannot resolve the dispute informally, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a “Dispute”) will be resolved exclusively by final and binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures (or the AAA under its Consumer Arbitration Rules if JAMS is unavailable). The arbitration will be conducted in New York County, New York, or, at your election, by video / telephone. The arbitrator (and not any court) has exclusive authority to resolve any issue relating to the scope, enforceability, or formation of this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court decides this class-action waiver is unenforceable in whole or in part, then the portion held unenforceable will be litigated in court and the remainder of this Section will remain in force.

Exceptions. Nothing in this Section prevents either party from: (i) bringing an individual claim in small-claims court for a Dispute within that court’s jurisdiction; or (ii) seeking emergency injunctive or equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights or breach of confidentiality.

Opt-out. You may opt out of this Section by sending written notice of your decision to opt out to Info@ivoryedu.com within thirty (30) days of first accepting these Terms. The notice must include your full name, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out of this Section does not affect any other provision of these Terms.

18. Governing Law; Venue

These Terms and any Dispute are governed by the laws of the State of New York and the U.S. Federal Arbitration Act, without regard to conflict-of-laws principles. Subject to Section 17, any Dispute not resolved in arbitration must be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts and waive any objection to inconvenient forum.

19. Termination; Reservation of Rights

We may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and for any or no reason, with or without notice, including if we suspect a violation of these Terms or any applicable law. We may also discontinue any portion of the Services at any time. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 3, 4, 6, 9, 12, 14, 15, 16, 17, 18, 20, and 22) survive termination of these Terms. We reserve all rights not expressly granted to you in these Terms, including the right to refuse service to any person for any lawful reason.

20. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above and, for material changes, take reasonable steps to notify you (such as posting a notice on the Site). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updates, you must stop using the Services.

21. Force Majeure

No Company Party will be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil disorder, labor disputes, government action (including changes in immigration policy or agency processing), network or utility failures, pandemic, or third-party service outages.

22. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any additional terms posted on a specific portion of the Services, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements and communications on the subject.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Any waiver must be in writing and signed by us to be effective.

Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent; any attempted assignment in violation of this Section is void. We may freely assign or transfer these Terms, including in connection with a merger, acquisition, sale of assets, or by operation of law.

Relationship. Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and the Company.

Electronic communications and records. You consent to receive notices, disclosures, and other communications from us electronically, and you agree that all such electronic communications satisfy any legal requirement that they be in writing.

Headings. Section headings are for convenience only and do not affect interpretation.
